These Terms of Use (“Terms”) govern your access to and use of the Enhanced Merchant Solutions (“EMS”, “we”, “us” or “our”) online portal and related services (the “Portal”). By accessing or using the Portal, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use the Portal.

1. Use of the Portal

The Portal is provided to help businesses explore potential savings on card payment services, submit applications and referrals, and allow approved users to track and manage relevant applications.

You agree to use the Portal only for lawful purposes and in accordance with these Terms. You must not use the Portal in any way that could damage, disable, overburden or impair the Portal or interfere with another person’s use of it.

2. Account Registration and Security

Where an account is required, you are responsible for providing accurate and up-to-date information and for keeping your login credentials confidential.

You are responsible for all activity carried out through your account. You must notify EMS as soon as reasonably possible if you believe your account or login credentials have been compromised or accessed without authorisation.

EMS reserves the right to suspend or terminate access where we reasonably believe an account has been misused or these Terms have been breached.

3. Referrals

If you use the Portal to refer a business to EMS, you confirm that:

  • the information you provide is accurate and provided in good faith;
  • you have the appropriate permission or lawful basis to provide the personal or business contact details submitted;
  • the referral is genuine and relates to a real prospective business customer;
  • you will not submit false, misleading, duplicated or fabricated referrals; and
  • you will not use the referral process for spam, unsolicited bulk communications or any unlawful purpose.

Referral payments or rewards are subject to the applicable EMS referral programme terms and eligibility requirements. EMS reserves the right to reject or withhold a referral reward where a referral does not meet the applicable criteria, is duplicated, fraudulent, misleading or otherwise invalid.

4. Applications and Merchant Services

Submitting an application or referral through the Portal does not guarantee that a business will be accepted for merchant services, approved for a particular rate, or provided with a card terminal or other equipment.

Any pricing, processing rates, promotional offers, cashback, free-processing incentives or referral rewards are subject to the relevant eligibility criteria, agreement and applicable terms.

EMS may require additional information or documentation before an application can be assessed or completed.

5. Data Protection and Privacy

Your use of the Portal is also subject to our Privacy Policy, which explains how we collect, use, store and protect personal information.

6. Intellectual Property

All content, text, graphics, logos, branding, designs, software and other materials made available through the Portal are owned by or licensed to EMS or its relevant third-party providers.

You may use the Portal and its content only for its intended purpose. You must not copy, reproduce, modify, distribute, republish, reverse engineer or commercially exploit any part of the Portal without our prior written permission, except where permitted by law.

7. Availability and Changes to the Portal

We aim to keep the Portal available and operating correctly, but we do not guarantee that it will always be available, uninterrupted or error-free.

We may modify, suspend or discontinue any part of the Portal, including features or functionality, at any time where reasonably necessary.

8. Limitation of Liability

The Portal is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, EMS will not be responsible for any indirect, incidental, special or consequential loss arising from or in connection with your use of, or inability to use, the Portal.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that applicable law does not permit us to exclude or limit.

9. Suspension or Termination

We may suspend or terminate your access to the Portal where we reasonably believe that you have breached these Terms, provided inaccurate or fraudulent information, misused the Portal, or engaged in activity that may cause harm to EMS, our partners or other users.

You may stop using the Portal at any time.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes to our services, business practices, legal requirements or the functionality of the Portal.

Where appropriate, we will publish the updated Terms on the Portal. Your continued use of the Portal after updated Terms have been published will constitute acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms or your use of the Portal will be subject to the applicable courts of England and Wales.
